SYNERGY

AN ASSOCIATION OF PRIVATE MEMBERS

MEMBERSHIP AGREEMENT 

This Membership Agreement, hereinafter referred to as “Agreement”, is entered into and made effective as of ____________ by and between the following parties; 

Synergy Private Membership Association (“the Association”), is a non-profit association, organized under the laws of
the United States, having its official address at 2301 W. State Route 89A, Suite 106, 105 and 104; Sedona, AZ; 86336 USA

and 

all current and future members of the Association, specifically here the following member: __________________ (“Member”), the current individual agreeing to the terms of this Agreement, with resident address
at ________________________________________________. 

Association and Member may be referred to individually as “Party” and collectively as “Parties”. 

RECITALS 

WHEREAS, Association is designed for the following purpose, elaborated on more fully in its Constitution and By-Laws: Synergy, An Association of Private Members, hereby gathers with the primary intention of existing in harmony with nature. Our collective purpose is to source from nature that which is of the greatest benefit to the health of ourselves, our community, and our planet. We believe that nature has the power to sustain and energize the body, mind and spirit. We hold as true the tenet that it is our divine right by birth to freely access and utilize the natural world of plants and minerals for the purposes of physical and mental sustenance, nourishment, and happiness.

WHEREAS, Member would like to join the Association and acknowledges and agrees to be bound by the terms and conditions listed herein; 

NOW, therefore, in consideration of the premises and covenants contained herein, as well as other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the Parties do agree as follows: 

Article 1 – MEMBERSHIP 

This Agreement forms a legally binding agreement between the Member and the Association and governs the Member’s duties and responsibilities, and use of the Association’s goods and services. This Agreement also covers the Association’s provision of services. Hereinafter, “our” in the first personal plural will refer to the Association. 

Article 2 – MEMBERSHIP REQUIREMENTS 

The Member shall submit to the Association the following requirements: 

1. Membership Contract, which shall include any such information required to maintain our Association of Membership in private; to be signed on Point of Sale Terminal on site upon initial donation for any members-only exclusive service.
    

Article 3 – MEMBERSHIP BENEFITS 

The Association offers the following benefits to its Members: 

1. Member-only “exclusive” access to our association’s private selection of hundreds of organic and wild-crafted, top-quality plants, tinctures, and herbal capsules from around the world, offered for fair value donation.
2. Exclusive access to a wide-range of health-conscious, plant-based nutritious beverages, foods, and chocolates, including via Private Membership Association only access to kava drinks, kratom drinks, various herbs as teas prepared in our facility on demand, with the optional additives of CBD, shilajit, and other health-focussed supplemental add-ons.
3. Exclusive access to our private event space, stage and events equipment at competitive rates for private events including lectures, seminars, concerts, theater and performing arts, dances and other social gatherings. 
4. Exclusive access to our association’s wide range of privately-held events.
5. Exclusive access to a wide range of health-based supplements, skin care, local artisan crafts, crystals and jewelry.
6. Exclusive access to Synergy facilities, including multiple seating areas and Wi-Fi.
7. Exclusive access to our natural wellness reference books library for self-education. 
8. Exclusive access to our community of independent, creative individuals to meet, speak freely and enjoy the company of private association of members.
9. 
   

Article 3 – DONATIONS 

Lifetime membership is maintained active upon every donation received.

Member will be responsible for member donations, hereinafter referred to as “Donations” to the organization.

Article 4 – TERMINATION 

This Membership Agreement shall continue until one year from the date that the agreement has been signed and is subject for renewal provided that the member does not have any delinquencies. 

The following are the grounds for termination of agreement: 

1. Breach of the terms of this Agreement; 
2. Upon the death of the Member; 
3. The inability of the Member to continue his/her business;
4. Failure to pay Member donations;
5. The Member’s failure to comply with the association’s bylaws in regards to behavior, which in sum are the basic tenets of respect and compassion within our private association of membership, facilities, or in regards to possessions of the associations or it’s members.
6. Liquidation, dissolution or discontinuance of the organization in any manner.
    

Article 5 – MEMBERSHIP WARRANTIES 

The warranties of the member shall be the following: 

1. Agrees to provide, in the format provided by the Association, accurate, updated and complete information to maintain Membership status.
2. Agrees to hold the Association, Members, Board of Directors, affiliates and representatives, harmless from any damage, whether tangible or intangible, during and even after the membership expires.
3. Agrees that the Association makes no express or implied warranty as to the success, wellness or profitability of the Member within context of private association within our membership.
4. Agrees to act and speak with respect, courtesy and compassion toward all members of the association, the association’s facilities and possessions, and the possessions of it’s members.
5. Agrees that our Association is not a business and is therefore not a public organization; that our Association exists and operates solely in the private; governed by and maintaining the rights, freedoms and protections of the United States Constitution and other supporting Supreme Court Cases.
6. Agrees that speaking kindly of our Members and private Association in the world at large is in support of the shared mission of our Association.
    

Article 6 – ASSOCATION WARRANTIES

1. Agrees to provide information about the availability, status, duration, menu, listing and suggested donation price of each product or service that the Association makes available for donation based on a fair value.
2. Agrees to act and speak with respect, courtesy and compassion toward all members of the association, the association’s facilities and possessions, and the possessions of it’s members.
3. Agrees to exclusively serve only top-quality ingredients of the highest nutritive and health benefits known by our Association, which are free from dangerous additives, with the intention of the highest benefits to our membership and the planet. 
4. Agrees to maintain a tradition of the use of earth-conscious materials, such as compostable and/or post consumer-recycled content, not-toxic cleaning products, and to provide reusable dishes and cutlery when possible.
5. Agrees to maintain strict confidentiality of our members, and any Member information, as such holding information is maintained solely in the private domain, and is not nor will not ever be public information. 
6. Agrees that speaking kindly of our Members and our Association in the world at large is in support of the shared mission of our Association.

Article 7 – REDISTRIBUTION OF EXCESS DONATIONS

In the event of excess donations, redistribution of member donations shall be determined per annum in January, for the prior fiscal year to all active members; to be determined by the Association’s Board of Directors; in conjunction with the Association’s Bylaws, projection of future needs, and via a method of fair redistribution to each active member of the Association.
